These Terms and Conditions ("Terms") serve as the governing document for your access to and use of Iblix Digital’s services, website, and all related communications. By utilizing our services, accessing our digital platforms, or e​ngaging with our representatives, you agree to adhere to the provisions outlined in these Terms. If you disagree with any part of these Terms, you must refrain from using our services or platforms. These Terms are designed to protect both parties and ensure a seamless working relationship based on mutual respect and understanding.

Services Overview

Iblix Digital offers a broad range of digital services tailored to meet the specific needs of businesses, including digital marketing, social media management, website design, and content creation.

  • Service Scope: Each project is designed to align with the client’s goals, as outlined in a signed agreement prior to the start of work. This ensures that every deliverable is customized to meet specific requirements while adhering to professional standards.

  • Detailed Agreement: A clear and detailed agreement will define the project scope, deliverables, and timelines to ensure transparency for both parties. This document serves as a foundation for the working relationship.

  • No Guarantee of Specific Results: While our team strives for exceptional results, the dynamic nature of digital marketing and external market factors means that we cannot guarantee outcomes such as increased traffic, sales, or engagement. 

Client Obligations

Clients play an integral role in the successful delivery of services, and their active participation is crucial.

  • Timely Information: Clients are required to provide all necessary materials, documents, and feedback within the agreed timelines to ensure smooth project progression.

  • Approvals and Permissions: It is the client’s responsibility to secure all rights, permissions, and licenses for any assets provided to Iblix Digital. Failure to do so may result in legal liabilities for the client.

  • Delayed Response: Delays in providing requested information or approvals may impact the timeline and cost of the project. Iblix Digital reserves the right to adjust project schedules or charge additional fees to account for such delays.

Project Timelines

Timelines for project completion are established during the initial agreement phase and serve as a roadmap for both parties.

  • Timely Client Approvals: To ensure timely delivery, clients must provide approvals and feedback promptly, as outlined in the agreement. Delays in responses can result in shifts to the project timeline.

  • Delays and Adjustments: Iblix Digital is not responsible for delays caused by client inaction or unforeseen events. Any changes to the timeline will be communicated promptly, and revised schedules will be mutually agreed upon.

  • Force Majeure: In the event of unforeseen circumstances such as natural disasters or other external factors beyond our control, project timelines may be extended. Iblix Digital will make every effort to minimize disruptions and maintain transparency.

Payments & Invoicing

Clear payment terms ensure a smooth financial process and foster trust between Iblix Digital and its clients.

  • Upfront Payment Policy: Depending on the project, clients may be required to pay in full or make an initial deposit before work begins. These terms will be detailed in the signed agreement.

  • Separate Billing for Additional Requests: Any additional requests or changes beyond the original project scope will be billed separately. The client will be informed of the additional costs and must approve them before the work commences.

  • Non-Payment Consequences: Failure to pay invoices within the agreed timeframe may lead to delays, suspension of services, or legal action. Clients are responsible for ensuring payments are made on time.

Project Approval Process

Before starting any project, Iblix Digital provides a detailed quotation covering the scope of work, deliverables, timelines, and costs.

  • Approval as Binding Agreement: Once the client accepts and signs the quotation online or in physical form, it becomes a binding agreement that cannot be modified. This ensures clarity and prevents any misunderstandings.

  • No Further Changes: After the quotation is accepted digitally and physically, any changes or additions will require a separate quotation. Additional costs and adjusted timelines will be communicated transparently.

  • Client Responsibility: Clients must carefully review the quotation to ensure all details meet their expectations. Iblix Digital is not liable for misunderstandings or discrepancies identified after approval.

  • Separate Engagements for Additional Work: Any requests beyond the accepted scope will be treated as a new project and will follow the same quotation and approval process.

Refund Policy

Due to the customized and creative nature of our services, refunds are generally not provided once work has commenced.

  • No Refund for Completed Work: Payments for services already rendered are non-refundable, as significant time and resources are invested in each project.

  • Commitment to Resolution: If clients are dissatisfied with any aspect of the project, Iblix Digital will work to address concerns and find mutually agreeable solutions.

  • Refund Exceptions: Refunds, if granted, are rare and subject to Iblix Digital’s sole discretion, typically reserved for cases where services were not delivered as agreed.

Confidentiality

Maintaining confidentiality is fundamental to fostering trust and professionalism.

  • Scope of Confidentiality: Both parties agree to treat all shared information, such as business strategies, proprietary tools, and financial data, as confidential.

  • No Disclosure: Neither party may disclose confidential information to third parties without prior written consent unless legally required to do so.

  • Duration of Obligation: Confidentiality obligations remain in effect indefinitely, even after the project is completed or the agreement is terminated.

Intellectual Property

Ownership and use of project deliverables are governed by specific intellectual property rules.

  • Portfolio Rights: While ownership of deliverables transfers to the client upon full payment, Iblix Digital reserves the right to showcase the work in its portfolio unless otherwise agreed.

  • Pre-Existing Tools: Tools, methods, or processes developed by Iblix Digital before or during the project remain its exclusive property and cannot be used without permission.

  • Prohibited Use: Clients may not copy, distribute, or alter Iblix Digital’s proprietary materials outside the agreed-upon scope without express authorization.

Limitation of Liability

Iblix Digital’s liability is limited to the services provided, with no guarantees of specific outcomes.

  • No Guaranteed Outcomes: While we strive for excellence, results such as increased engagement or sales depend on multiple factors and cannot be assured.

  • Client Responsibility: Clients bear full responsibility for the application and outcomes of the deliverables provided.

  • Exclusion of Indirect Damages: Iblix Digital is not liable for indirect damages, including loss of profits, goodwill, or data.

Third-Party Services

For certain projects, Iblix Digital may integrate or rely on third-party platforms or tools, such as Google Ads, Facebook Ads, or hosting providers. Clients acknowledge that these platforms operate under their own terms and conditions, which are outside of Iblix Digital’s control. While we ensure proper use and management of these tools, we cannot be held liable for disruptions, policy changes, or performance issues related to third-party services. 

Accuracy and Completeness

Iblix Digital endeavors to provide accurate and complete information in all services and communications. However, occasional errors or omissions may occur. Clients are encouraged to independently verify any critical information provided. Any discrepancies identified should be promptly reported to Iblix Digital for review and correction to ensure deliverables meet client expectations.

Governing Law

These Terms and Conditions shall be governed by the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved exclusively in the courts of this jurisdiction. Clients are responsible for complying with applicable laws when using Iblix Digital’s services, and failure to do so may result in termination of the agreement or further legal action.
